The Vestry shall meet as may be required
by Parochial regulations, and whenever called by the Rector; if the
office of the Rector is vacant, by the Senior Warden or by a
majority of the members of the Vestry. (Canon 9.5)

The Vestry shall establish rules and
keep a record of its proceedings...it shall supply any vacancy in the
Rectorship of the Parish; it shall administer the temporal concerns
of the Church in the Parish; it shall provide for the prompt
payment of all liabilities incurred...(Canon 9.9)

Whenever there is a vacancy in the
Rectorship, they (the Wardens) shall provide for the maintenance of
public worship by clerical or lay services as circumstances may
permit. They shall perform all duties pertaining to proper
maintenance of the services of the Church. (Canon 10.4)
Good Shepherd Articles of Incorporation
(State of Texas)

The members of the Vestry of the
Episcopal Church of the Good Shepherd, Kingwood, Texas, shall be the
board of directors of the corporation. (Article VI)

The corporation is a church, and it
shall and does hereby accede to the Constitution and Canons of the
Protestant Episcopal Church in the United States of America. The
corporation shall also maintain its affiliation with, and shall
continue to be in union with, the Protestant Episcopal Church
Council of the Diocese of Texas. (Article VIII)
Bylaws of the Episcopal Church of the Good
Shepherd

The Rector shall preside at all Parish
meetings, but if the Rector be not present, then a Warden, or a
Vestryman, in order of seniority, shall preside. (Article IId)

Warden shall be filled by the Vestry at
any regular or special meeting. If a vacancy exists in the office of
the Rector, the Senior Warden shall be elected from among the
Vestrymen by the Vestry members... (Article IIIb.)

The adoption of an amendment (to the
By-Laws) shall require the affirmative vote of two-thirds (2/3) of
the Vestry. (Article VIc)

The Parish Meeting at which the election
of Vestry members takes place my be held no earlier than October 1st
nor later than the annual Parish meeting, as the Vestry may
determine...those elected not to take office until the adjournment of
the Parish annual Meeting which occurs in January. (Amendment:
Approved at Parish Meeting in January 2003)
